1. Pre-Construction Services Agreement

Inco Steel Buildings, Inc. • Corporate Pre-Qualification Standard

Purpose of Engagement: This agreement establishes authorization by the Property Owner ("Owner") for Inco Steel Buildings, Inc. ("Contractor") to execute specified front-end design, architectural review, and budget forecasting work cycles. This framework serves to bridge initial conceptual layout parameters with finalized, code-compliant turnkey building contracts while enforcing explicit mutual data and financial liabilities.

A. Mandated Contractor Scope & Intellectual Property Ownership:

• Architectural Drafting Access: Provision of preliminary conceptual drafting, elevation profiles, and structural schematic options built to scale to meet Owner's spatial requirements.
• Engineering Co-Evaluation: Detailed analysis of structural frame capacities, red-iron column distributions, or patented SolidStud™ wood-steel hybrid post configurations against local North Carolina building loads.
• Proprietary IP Ownership (Ad Infinitum): All intellectual property, including preliminary concepts, hand sketches, digital CAD files, architectural drafts, to-scale prints, and high-wind structural engineering files created by Contractor, remain the sole and exclusive property of Inco Steel Buildings, Inc. in perpetuity and ad infinitum.
• Strict Single-Project User License: Design fees grant a strict, non-transferable, single-use license for the logged land parcel only. Reusing, copying, or modifying Inco's proprietary engineering frameworks for any secondary project or construction site is strictly prohibited without explicit written authorization and separate license fees.

B. Financial Investment & Mobilization Terms:

All pre-construction operations are executed strictly under a non-refundable flat fee or baseline professional retainer. To ensure absolute capital integrity for serious developers, 100% of the specified Pre-Construction Contract fee is safely and securely credited directly back to the Owner’s primary account layout upon the execution of a formal turnkey Inco shell construction or building contract assembly.
